§ 1. Glossary

  • „Administrator” or „Service Provider” or „Company” Oponeo.pl S.A. with registered office in Bydgoszcz, ul. Podleśna 17, 85-145 Bydgoszcz, entered into the Register of Entrepreneurs of the National Court Register by the District Court in Bydgoszcz, 13th Commercial Division, with KRS number 0000275601, share capital: PLN 11,235,780, NIP [Tax Identification Number] 953-24-57-650, REGON [Business Statistical Number] 093149847, tel. 52 341 88 00, e-mail sekretariat@oponeo.pl
  • „Service” - a website owned by the Administrator that presents information about the Administrator that is relevant to investors and analysts.
  • „User” - a natural person, a legal person or an organisational unit without legal personality who uses the Service provided electronically through the Website.
  • „Privacy Policy” - the document posted on the Website containing detailed information on the protection of Users' personal data.
  • „Regulations” - these Regulations.
  • „Device” - means the electronic device through which the User accesses the Website.

§ 2. General Provisions

  • The Regulations set out the terms and conditions for the use of the Website.
  • he Website is a dedicated space for communication with the Administrator's shareholders and for sharing the Administrator's announcements required by law or the Articles of Association of a Joint-Stock Company.
  • The operation of the Website constitutes the fulfilment of the obligation under Article 5(5) of the Polish Commercial Companies Code.
  • These Regulations, adopted in accordance with Article 8 of the Act of 18 July 2002 on the provision of services by electronic means (i.e. Journal of Laws of 2020, item 344), set out the principles under which the Service Provider performs Services provided electronically to Users via the Service.
  • The Service Provider shall render available to the Users, free of charge and via the Website, the possibility to use services provided by electronic means (within the meaning of the Act of 18 July 2002 on provision of services by electronic means), referred to below.

§ 3. Website functionalities

  • The Website offers the following functionalities to the Users
    • Home page – provides the ability to browse the Website and access all the functionalities of the Website, in particular:

      - News – current announcements and information about the Company;

      - Calendar – schedule of upcoming and archive of past events;

    • Company info – presentation of basic information about the Company and additional information in tabs:

      - Primary information

      - Company history

      - Board of Directors

      - Supervisory Board

      - Capital Group

    • Investor Relations – provides detailed insight into reports and financial information about the Company and current listings, and presents additional information in the following tabs:

      - General Meetings of Shareholders

      - Corporate governance

      - Affiliated party transactions

      - Key dates

      - Presentations

      - Useful links

    • Press office – presents press releases and media releases; includes additional information.
    • Contact – includes contact details and a newsletter form
  • The Website includes a map of the Website to facilitate navigation through the various tabs and functionalities provided by the Website.
  • The Website is available in a version designed for mobile devices.
  • The Service Provider shall provide services in accordance with the Regulations.
  • The User is obliged to use the Website in accordance with the Regulations and generally applicable laws.

§ 4. Technical requirements

The User's use of the Website and the services provided electronically is possible provided that the following minimum technical requirements are met, including:

  • a device capable of connecting to the Internet and running an operating system,
  • software in the form of a web browser,
  • internet connection

§ 5. Personal data protection

Detailed information regarding Users' personal data and privacy protection can be found in the Privacy Policy.

§ 6. Final provisions

  • Matters not covered by the Regulations shall be governed by generally applicable law
  • These Regulations do not exclude or limit any of the rights of the User who is a consumer or sole proprietor that they are entitled to under mandatory provisions of law. In the event of a conflict between the provisions of the Regulations and mandatory legal provisions granting rights to consumers or sole proprietors, these provisions shall prevail
  • The Regulations are available to all Users electronically on the Website.
  • The Service Provider is entitled to amend the provisions of the Regulations for valid reasons. In particular, the following are deemed to be valid reasons:
    • change in the functionality of the Website,
    • change in the applicable legislation,
    • change in the nature or scope of the services offered through the Website or the manner in which they are provided.
  • The Service Provider shall notify all Users of the change to the Regulations by posting an appropriate message on the Website.
  • Changes to the Regulations shall in no way infringe the acquired rights of Users.
